TERMS AND CONDITIONS
There are
certain legal and regulatory limitations that apply to the information
contained on this website. By proceeding to use this website you are deemed to
have understood and accepted these terms and conditions. It also indicates your
acknowledgement of the regulatory information below.
This website,
these terms and conditions, and the regulatory information may be altered and
amended at any time without prior notice. Your continued use of our website
indicates your acceptance of and acknowledgement of these terms and conditions
and the regulatory information as amended.
1. Design
The client will provide Seasons Design with a
design specification detailing the overall look and objective of the site. Seasons Design will provide a quotation in
respect of the work.
On agreement of a price, a small
non-refundable deposit, agreed by both parties, will be payable. Upon receipt of this Seasons Design will
provide two design samples for the client to review. The client will select the sample most suited
to their requirements and can ask for alterations until they are satisfied with
the design. If, at this stage, the
client is not satisfied with the design, they may withdraw from the agreement
with no further monies due. NB. Copyright of all designs and websites remains
that of Seasons Design until all monies are fully paid.
The client will ask Seasons Design to proceed
with production of the website.
At this stage a further payment representing 50%
of the total cost of the site will be due. On completion, a test site will be
provided for the client to review the site.
One block of minor changes may be
requested by the client.
If further design changes are required,
Seasons Design are happy to oblige but please note that these will be charged
at an additional hourly rate.
On completion of the site, full payment
becomes due and the website will not be
launched onto your domain (or sent to you, if arranging your own hosting) until
full payment has been received.
NB. Copyright of all designs and websites remains
that of Seasons Design until all monies are fully paid.
Seasons Design will liaise with one nominated
Project Leader in respect of each website.
It is the responsibility of the nominated Project Leader to ensure that
Seasons Design is supplied with the correct and relevant information to
complete the project. Any failure to
provide this information which may result in additional work being undertaken
will be charged at standard rates.
2. Content
It is your
responsibility to provide us with the required information about your business.
We take no responsibility for errors in content supplied by you for the web
site. Any changes thus incurred may be chargeable at standard rates.
Unless specified otherwise, it is your responsibility to provide all necessary
text and graphic materials that make up the content of the site. No refund will
be made in the event that you fail to provide sufficient content to complete
the site.
All content must be supplied in a suitable digital format unless agreed
otherwise beforehand. Images should be supplied as jpeg, gif or Photoshop
format. Text should be supplied as a Microsoft Word. Failure to supply material
in digital format may result in extra charges being made for processing content
for use on your web site. Where the content which is provided is in a form
where a significant amount of copywriting is required, a further charge may be
made.
You grant
permission to Seasons Design to utilise logos and any other company identity
for the purposes of creating the website.
You agree
to indemnify Seasons Design from any and all claims arising from your
negligence or inability to obtain proper copyright permissions for all content
supplied.
A design credit with a link to the Seasons Design website will appear on the
main home page of your web site either in text or graphic format. The link will
be designed to fit the overall design of the site.
Please allow a minimum of two weeks from submission of web content to Seasons Design for the completion of static sites. Dynamic sites may take longer and this will vary depending on complexity of requirements.
In the event
that Seasons Design is unable to complete a website because of lack of text
and/or pictures, then text will be added using "lorum ispsum" text and
pictures using appropriate library pictures. At this point the website will
be considered completed and invoiced accordingly under our standard payment
terms. Final text and pictures will be added when these are supplied by the
client.
3. Hosting
and Domain Names
Seasons Design will normally arrange hosting
for the website. A basic charge will be made for this. FTP access details to
your website files can be issued on request.
Customers wishing to arrange web hosting and
domain names away from Seasons Design can do so at any time. We will however
advise you if the arrangements appear to be unsuitable for our requirements. If
the website is to be hosted by another web host than us, you
agree to grant us access to the web space via FTP.
We will advise clients on selecting domain
names and register these for them as requested at current rates, but cannot
guarantee a certain name will be available. We reserve the right to make a
charge of £100 for any administrative work associated with subsequent hosting
or domain name transfers into or out of our facilities. Renewals are made
automatically unless we are notified in writing 28 days in advance, but please
note we accept no responsibility if a domain fails to be re-registered.
4. Search Engine Placement
Where Seasons Design
undertakes promotion of the website through Search Engine placement no
guarantee is given that rankings can be achieved on particular Engines.
Resubmission will take place as and when we deem appropriate and may vary in
frequency depending on the level of maintenance updates undertaken.
5. Web Maintenance
For clients with Web site maintenance
packages, we will establish if the update falls within the scope of your quoted
maintenance agreement, and if not, advise you of the cost of the update.
Maintenance is subject to the following conditions: -
Maintenance is defined as modifications to an
existing page requiring one man-hour a month or less to implement (sufficient
for most minor changes).
Requests for Maintenance must be submitted to us
via e-mail. All content must be supplied in digital format. Content not
supplied in digital format may result in extra charges being made.
6. Links
On Seasons Design Site we may from time to time provide
links to other web sites that are operated by third parties. Please note that using such a link means that
you are leaving our Site, and we take no responsibility for, and make no
representations and give no warranties in respect of, any web sites accessed
through any such links from this Site.
7. Privacy
Seasons Design will not sell, share or hire
out your personally identifiable information to anyone. Seasons Design is the
sole owner of the information collected on this site. We will only reveal
personally identifiable information about you if responding to legal summonses,
court orders or other legal processes.
All services may be used for lawful purposes only. You agree to
indemnify and hold Seasons Design harmless from any claims resulting
Our total liability to you in contract or in
tort arising in connection with this Contract shall not exceed the total price
paid by you. We shall have no liability for loss of profits, business, revenue,
goodwill or anticipated savings nor for any other
indirect or consequential loss.
Seasons Design accepts no responsibility for
web server downtime or interruptions to service caused by circumstances beyond
our control.
Seasons Design undertakes no liability
whatsoever for the acts or omissions of other providers of telecommunication
service or for faults in or failures of their apparatus.
Seasons Design is not in any way liable in
contract or otherwise for loss whether direct or indirect or business, revenue
or profits, anticipated savings or wasted expenditure, corruption or
destruction of data or for any indirect or consequential loss whatsoever.
11. Indemnity
You shall indemnify us and keep us indemnified
and hold us harmless from and against any breach by you of these terms of
business and any claim brought against us by a third party resulting from the
provision of Services by us to you and your use of the Services and the Server
including, without limitation, all claims, actions, proceedings, losses,
liabilities, damages, costs, expenses (including reasonable legal costs and
expenses), howsoever suffered or incurred by us in consequences of your breach
or non-observance of this Agreement.
